These Terms of Service (“Terms”) govern your access to and use of the streaming radio station, related websites, online audio streams, applications, Alexa Skill, and related services operated by SUC Radio/ScrewedUp.Click (“Station,” “we,” “us,” or “our”).

By accessing, listening to, enabling, using, or otherwise interacting with the Station or the corresponding Amazon Alexa Skill (collectively, the “Services”), you agree to be bound by these Terms.

If you do not agree to these Terms, you should not access or use the Services.

1. Description of Services

The Services may include:

Live Internet radio streaming;
Prerecorded programming;
Music, interviews, talk programming, advertisements, announcements, and other audio content;
A website or web-based audio player;
Station information, schedules, promotions, and related content;
An Amazon Alexa Skill that allows users to access the Station through compatible Alexa-enabled devices;
Links to third-party websites or services; and
Other digital products, applications, or functionality made available by the Station.

Features and availability may change from time to time without notice.

2. Eligibility

You may use the Services only if you are legally permitted to do so in your jurisdiction.

If you are under the age of majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian where required by law.

Some Station programming may contain mature themes, language, music, commentary, or advertisements that may not be appropriate for all audiences. Parents and guardians are responsible for supervising minors’ use of the Services.

3. Alexa Skill

The Station may provide an Alexa Skill that enables users to request and listen to the Station through Amazon Alexa-compatible devices.

The Alexa Skill is intended primarily to provide access to the Station’s audio stream and related functionality.

For example, a user may invoke the Skill using a command such as:

“Alexa, play SUC Radio.”

The exact invocation phrase, commands, features, and functionality may change over time.

Use of the Alexa Skill is also subject to any applicable Amazon terms, Alexa terms, device terms, privacy policies, and other agreements between you and Amazon.

Amazon is not responsible for the Station’s programming, content, availability, or operation.

Likewise, the Station is not responsible for the availability, operation, functionality, or performance of Amazon Alexa, Amazon devices, Amazon accounts, Internet connectivity, or third-party systems.

4. No Guarantee of Continuous Availability

The Services are provided on an “as available” basis.

We do not guarantee uninterrupted or error-free availability of:

The audio stream;
The Station website;
The Alexa Skill;
Particular programming;
Scheduled broadcasts;
Music or other content;
Third-party streaming infrastructure; or
Any other component of the Services.

The Services may become temporarily or permanently unavailable because of maintenance, technical problems, Internet outages, licensing restrictions, third-party service failures, security incidents, changes in technology, business decisions, force majeure events, or other circumstances.

We may suspend, modify, discontinue, replace, or restrict any portion of the Services at any time.

5. Streaming and Data Usage

Streaming audio requires an Internet connection and may consume data.

You are responsible for:

Your Internet connection;
Mobile data usage;
Broadband usage;
Equipment;
Compatible devices;
Any Internet service provider fees;
Mobile carrier charges; and
Any other costs incurred while accessing the Services.

The Station is not responsible for data charges, bandwidth charges, or other fees imposed by third parties.

6. Personal and Noncommercial Use

Unless otherwise expressly authorized, the Services are provided for personal, noncommercial listening only.

You may not, without prior written authorization:

Reproduce the Station’s audio stream;
Rebroadcast the stream;
Relay the stream to another audience;
Record programming for commercial distribution;
Redistribute programming;
Sell access to the stream;
Publicly perform or commercially exploit Station programming;
Incorporate the stream into another service;
Create unauthorized applications or integrations using the Station’s stream;
Circumvent technical controls;
Scrape or systematically collect Station content; or
Use the Services in a manner that violates applicable law.

Nothing in these Terms grants you any ownership interest in the Station’s programming, technology, trademarks, branding, or other intellectual property.

7. Music and Third-Party Programming

Programming may include copyrighted music, syndicated programs, advertisements, interviews, news, commentary, promotional material, and other content owned or controlled by third parties.

All copyrights and other intellectual property rights in such material remain with their respective owners.

The Station’s transmission or performance of copyrighted material does not grant listeners permission to reproduce, download, distribute, synchronize, rebroadcast, publicly perform, commercially exploit, or otherwise use that material except as permitted by applicable law.

8. Intellectual Property

Except for content owned by third parties, the Services and their associated materials may include intellectual property owned by or licensed to the Station, including:

Station names;
Logos;
Trademarks;
Service marks;
Website design;
Artwork;
Station IDs;
Audio imaging;
Promotional materials;
Software;
Source code;
Databases;
Text;
Graphics; and
Original programming.

Such materials are protected by applicable intellectual property laws.

You may not copy, modify, reproduce, publish, transmit, distribute, license, sell, or create derivative works from Station-owned materials without prior written authorization.

9. Prohibited Uses

You agree not to use the Services to:

Violate any law or regulation;
Interfere with or disrupt Station systems;
Attempt unauthorized access to servers, accounts, systems, or networks;
Introduce malware, malicious scripts, automated attacks, or harmful code;
Circumvent geographic, technical, security, or licensing restrictions;
Falsely represent an affiliation with the Station;
Impersonate Station personnel;
Misuse Station trademarks;
Exploit the Services commercially without authorization;
Overload or interfere with streaming infrastructure;
Reverse engineer software except where such restriction is prohibited by law; or
Assist another person in engaging in prohibited activity.

We may restrict or terminate access where we reasonably believe these Terms have been violated.

10. User Communications

If the Station accepts requests, dedications, contest entries, messages, emails, voice messages, social-media communications, or other submissions, you are responsible for the content you submit.

You may not submit material that is unlawful, threatening, defamatory, infringing, fraudulent, abusive, or otherwise prohibited by applicable law.

Unless otherwise stated, submitting material does not guarantee that it will be read, aired, published, acknowledged, or retained.

11. Contests and Promotions

The Station may periodically conduct contests, giveaways, sweepstakes, promotions, or special events.

Such promotions may be subject to separate official rules, eligibility requirements, geographic restrictions, deadlines, and other terms.

If there is a conflict between these Terms and the official rules of a particular promotion, the specific promotion rules will control with respect to that promotion.

12. Advertising and Sponsorships

The Services may contain advertising, sponsorships, endorsements, paid programming, promotional messages, affiliate links, or references to third-party products and services.

Unless expressly stated otherwise, the Station does not warrant, endorse, or guarantee third-party products or services.

Any transaction between you and a third party is solely between you and that third party.

13. Third-Party Services

The Services may depend on or interact with third-party platforms and infrastructure, including services provided by:

Amazon;
Alexa;
Internet hosting providers;
Streaming providers;
Content delivery networks;
Analytics providers;
Social networks;
Advertising providers; and
Other technology providers.

Your use of third-party services may be governed by separate terms and privacy policies.

We are not responsible for the availability, security, practices, content, or performance of third-party services.

14. Amazon and Alexa Disclaimer

The Alexa Skill is independently operated by the Station unless otherwise expressly stated.

Amazon, Alexa, Echo, and related names, marks, products, and services are trademarks or property of Amazon.com, Inc. or its affiliates.

The Station’s use of the Alexa platform does not imply endorsement, sponsorship, or ownership by Amazon.

Amazon may modify or discontinue Alexa functionality or policies at any time, which may affect the availability or operation of the Skill.

15. Privacy

Your use of the Services is also subject to our Privacy Policy.

The Station’s Privacy Policy should explain, among other things:

What information the Station collects;
What information the Alexa Skill receives;
Whether personally identifiable information is collected;
Whether analytics are used;
How information is stored;
Whether information is shared with third parties; and
How users may contact the Station regarding privacy matters.

The Alexa Skill may also be subject to Amazon’s privacy practices.

Where the Skill simply launches an audio stream and does not require account linking, user registration, or collection of personal information by the Station, the Station may receive only limited technical or aggregated information. This may change if additional Skill features are introduced.

16. No Emergency or Critical Service

The Services are provided for entertainment and informational purposes.

The Station and Alexa Skill are not emergency communication systems and should not be relied upon for:

Emergency alerts;
Medical emergencies;
Law-enforcement communications;
Fire or rescue information;
Severe weather notifications;
Public safety warnings; or
Other critical communications.

For emergencies, contact the appropriate emergency services or official public-safety authorities.

17. Information and Commentary Disclaimer

Programming may include opinions, commentary, interviews, news, entertainment, humor, or information supplied by hosts, guests, advertisers, listeners, or third parties.

Views expressed by hosts, guests, callers, artists, advertisers, or other participants do not necessarily represent the views of the Station.

Although we may attempt to provide accurate information, we do not guarantee the accuracy, completeness, timeliness, or reliability of information presented through the Services.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

THE STATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, RELIABILITY, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICES WILL:

ALWAYS BE AVAILABLE;
OPERATE WITHOUT INTERRUPTION;
BE ERROR-FREE;
BE SECURE;
BE FREE FROM HARMFUL COMPONENTS;
WORK WITH EVERY DEVICE; OR
CONTINUE TO SUPPORT ANY PARTICULAR FEATURE.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE STATION, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

This includes, without limitation, damages arising from:

Service interruptions;
Stream outages;
Device failures;
Data loss;
Loss of revenue;
Loss of profits;
Internet connectivity;
Third-party services;
Alexa functionality;
Reliance on programming; or
Unauthorized access to or alteration of data.

Where liability cannot legally be excluded, liability will be limited to the maximum extent permitted by applicable law.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Station and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, and expenses arising from:

Your violation of these Terms;
Your misuse of the Services;
Your violation of applicable law;
Your infringement of another person’s rights; or
Content you submit through the Services.

21. Geographic Availability

The Services may not be available in every country or territory.

Programming, music licensing, technology, legal requirements, and third-party restrictions may require the Station to limit access in certain locations.

The availability of the Station in one jurisdiction does not constitute a representation that all content or functionality is lawful or appropriate in every jurisdiction.

22. Changes to Programming

Programming schedules, hosts, DJs, songs, formats, features, advertisements, stream URLs, and other Station content may change without notice.

Published schedules are provided for convenience and are not guarantees.

23. Changes to the Alexa Skill

The Station may add, remove, modify, suspend, or discontinue Alexa Skill functionality.

Future functionality could include, for example:

Program information;
Now-playing information;
Station schedules;
Multiple streams;
Requests;
Podcasts;
Account linking;
Notifications;
Personalized features; or
Other voice-based functionality.

Additional terms or privacy disclosures may apply if such features are introduced.

24. Termination

We may suspend or terminate access to the Services where necessary to:

Maintain service security;
Comply with law;
Protect intellectual property rights;
Enforce these Terms;
Protect the Station or third parties;
Address misuse; or
Discontinue the Services.

You may stop using the Services at any time.

Alexa users may disable the Skill through their Amazon Alexa account or Alexa application.

25. Changes to These Terms

We may revise these Terms periodically.

When material changes are made, the revised Terms will be published with an updated “Last Updated” date.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

26. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

27. No Waiver

Failure by the Station to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.

28. Entire Agreement

These Terms, together with the Station’s Privacy Policy and any additional terms applicable to particular features or promotions, constitute the agreement governing your use of the Services.

29. Governing Law

These Terms will be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any legal proceeding relating to these Terms or the Services shall be brought in a court of competent jurisdiction located in Harris County, Texas, unless applicable law provides otherwise.

Alexa Skill-Specific Terms Summary

By enabling or using the SUC Radio Alexa Skill, you acknowledge that:

The Skill provides access to audio programming supplied by SUC Radio.
An Internet connection and compatible Amazon Alexa-enabled device are required.
The Station does not guarantee uninterrupted streaming or Skill availability.
Amazon may modify or discontinue Alexa functionality independently of the Station.
The Skill does not provide emergency or critical communication services.
Audio programming may contain copyrighted music and other third-party material.
Listening does not grant any right to reproduce, record, rebroadcast, or commercially distribute Station programming.
Your use of Alexa remains subject to Amazon’s applicable terms and privacy policies.
Use of the Skill is also subject to the Station’s Privacy Policy and these Terms of Service.
You may disable the Skill at any time through the Alexa application or your Amazon account.
